1.1. By using, visiting and/or accessing any part (including, but not limited to, sub-domains, source code and/or website API's, whether visible or not) of the Framble website or mobile application or any other websites or applications that we own or operate (the “Website”) and/or registering on the Website, you agree to be bound by (i) these Terms and Conditions (ii) our Privacy Policy (iii) our Cookies Policy and (iv) the Rules of Play ] (together the "Terms"),which are displayed on our website @ www.framble.co.uk and are deemed to have accepted and understood at all times.
1.2 Please read the Terms carefully before opening an account with us and if you do not accept the Terms, do not use, visit or access any part (including, but not limited to, sub-domains, source code and/or website APIs, whether visible or not) of the Website.
1.3 The Terms apply to betting or gaming via mobile devices including, downloadable applications to a mobile device as if references to your use of the Website were references to your use of our telephone betting and/or mobile devices betting facilities.
1.4 References in these Terms to "Framble", "we", "us" or "our" will be to Flutter Media Ltd.
1.5 References to "you", "your" or the "customer" is reference to any person using the Website and mobile app or the services of Framble and/or any registered customer of Framble.

Information about us and how to contact us.
2.1 We are Flutter Media Ltd (trading as Framble) a company registered in England and Wales. Our company registration number is 11283879 and our registered office is at New House Farm, Clay Lane, Haslington, Cheshire, United Kingdom, CW1 5SQ. Our registered VAT number is 11283879. We are licensed and regulated by the Gambling Commission in Great Britain, licence number 000-055311-R-332891-001.

2.3 If we have to contact you, we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order.
2.4 Records will be kept of all customer interactions which may be shared with the Gambling Commission or used for staff training purposes.
2.5 "Writing" includes emails. When we use the words "writing" or "written" in these terms, this includes emails.
3.
Your Account.
3.1 Before you can use our services, you need to open an account and deposit funds which are sufficient to cover your bet.
3.2 In consideration of our accepting your application to open an account, you represent to us (and acknowledge that we rely on these representations) as follows:

3.2.1. You are 18 years of age or over. It is an offence for anyone under the age of 18 to open an account or to gamble on Framble.
3.2.2. You are of sound mind and capable of taking responsibility for your own actions and that you can enter into a legally binding agreement with us.
3.2.3. You agree to provide accurate registration information, including without limitation your correct name, date of birth and your country of residence. You agree to inform us of any changes in such details.
3.2.4. You are the person whose details are provided in connection with your registration, or, in the case of legal entities, you are a duly authorised representative of the relevant legal entity.
3.2.5. You are acting as a principal and not as an agent on behalf of a third party.
3.2.6. You are not an undischarged bankrupt or in a voluntary arrangement with your creditors.
3.2.7. You are not located in a country where the use of our services is prohibited, for example the United States of America, Turkey or any other country with a comparable legal situation. You are entirely responsible for complying with your own local, national, federal, state or other laws concerning betting and gaming prior to opening an account, placing any bets or using our services.
3.2.8. You are not currently subject to a self-exclusion from a Framble account and neither we nor any other operator has excluded you from gambling; and
3.2.9. You will, following a request from us (which may be made at any time before or after you open an account with us), promptly provide any documentation or information which we request in order to evidence your identity, age, address, country of birth or authorisation to use a particular credit or debit card (and you agree that we may perform checks in order to verify any such documentation or information).
3.3. It is your responsibility to keep your contact details up to date on your account. Failure to do so may result in you failing to receive important account related notifications and information from Framble, including changes we make to these Terms.
3.4. You are solely responsible for the security and confidentiality of your account.
3.5. Provided that we have been correctly supplied with the account information requested, we are entitled to assume that offers and payments are made by you. You should change your password on a regular basis and never disclose it to any third party. If another person accesses your account, you are solely responsible for all their actions whether or not their access was authorised by you, and you hereby indemnify us and hold us harmless against all costs, claims, expenses and damages howsoever arising in connection with the use of or access to your account by any third party.
3.6. Any individual is only permitted to have one account on Framble at any time. If Framble discovers that multiple accounts are being operated by the same individual, this may lead to all of that individual's accounts being closed and the individual being excluded from using Framble's service. Framble reserves the right to monitor accounts and personal details to check for such unauthorised use.
3.7. We will store your account history for a minimum period of 12 months. Should you wish to access this, we will provide this on reasonable notice.
4.
Deposit and withdrawal of Funds.
4.1. To bet on Framble, you will first need to deposit funds.
4.2. The deposit funds are to be held by our validated payment provider in a separate client account. The arrangement meets the gambling commissions requirements for the protection of customer funds.
4.3. In the event of insolvency, your deposit funds will be protected by our payment provider.
4.4. You undertake that:

4.4.1. all money that you deposit in your account is untainted with any illegality and, in particular, does not originate from any illegal activity or source; and
4.4.2. all payments made into your account are authorised and you will not attempt to reverse a payment made into your account or take any action which will cause such a payment to be reversed by a third party, in order to avoid any legitimate liability.
4.5. You accept that all transactions may be checked to prevent money laundering and that any transactions made by you which Framble deems suspicious, may be reported to the appropriate authorities.
4.6. You accept that credit card payments will not be accepted by Framble as a form of payment. Deposits can be made by debit card only.
5.
Your Privacy & Copyright.
5.1. The information that you send to us will be processed in accordance with our Privacy Policy which is displayed on our website @ www.framble.co.uk
5.2. You authorise us, at any time, to use any means that we consider necessary to verify your identity and creditworthiness with any third-party providers of information.
5.3. You authorise us, at any time, to collect and gather information by any means we consider necessary to identify any transactions which we may deem to be suspicious. This may include but is not limited to, bets that you have won, the amounts that you have won and lost and the nature of the bets that you engage with.
5.4. You accept that any activity deemed by us to amount to a suspicious transaction may result in your account being temporarily suspended or that you will be prevented from placing future bets.
5.5. You accept and agree that records relating to these investigations may be kept by us, irrespective of the outcome of those investigations. All information gathered will be stored in accordance with our Privacy Policy.
6.
Copyright.
6.1 All users agree that by sharing any media content including but not limited to video, still images and audio, whether shared to their own framble account or another framble users account, that by uploading such media they agree to transfer all copyright rights to flutter media ltd, including and not limited to economic rights and moral rights
7.
Errors and Omissions.
7.1 You will inform us as soon as you become aware of any errors with respect to your account and you will forfeit any amounts shown to be in your account that result from human error or technical fault.
8.
Suspension or Termination of Your Account.
8.1. Either we or you may suspend or terminate your account at any time, and also remove bets or challenges either with or without cause, upon notice (we will use our reasonable endeavours to give such notice to you either before or after suspending or terminating your account). Please contact us if you would like to close your account.
8.2. We reserve the right to withhold funds in your account from you pending the determination of any investigation (including any relevant external investigation) where:

8.2.1. we suspect you have acted in breach of these Terms or any other agreement relevant to your activities on our site, including where we suspect the account has been linked with fraudulent or dishonest activity; and/or
8.2.2. we have withheld the funds in your account by law or to comply with any advice, request or instruction from any governmental, regulatory or enforcement authority.
8.3. Following the determination of any such investigation we reserve the right to seize some or all of the funds in your account if we are satisfied that you have acted in breach of these Terms or any other agreement relevant to your activities on our site. We will deal with any funds obtained by us in this manner at our sole and absolute discretion and/or in accordance with any advice, request or instruction from any governmental, regulatory or enforcement authority.
8.4. For the avoidance of doubt at no point during any such period will interest accrue to you on any funds in your account.
9.
Our Services.
9.1. Framble operates a betting exchange (“Exchange”) upon which you can enter into various betting transactions in relation to the markets available on our site ("Markets").
9.2. Where customers bet with each other on the Exchange, Framble solely acts as a facilitator and does not act as a counterparty.
9.3. You understand that you may lose money on bets placed and accept that you are fully responsible for any such loss. You accept that under no circumstances will any amounts lost by you under any bet be recoverable from us.
9.4. You will inform us as soon as you become aware of any errors in calculations with respect to any betting transaction. We reserve the right to declare null and void any bets which are the subject of such an error.
9.5. You agree it is your responsibility to account for any tax or duty imposed on you as a result of any of your betting transactions.
9.6. You are entirely responsible for the information that you provide to us concerning the offer that you wish to place. We will not enquire into the reasonableness of any offer that you may make. We will not be liable for incorrect entries made by you, including data input errors.
9.7. You undertake to use our services for legitimate betting purposes only. In particular you undertake not to:

8.7.1 engage in any activity which has the purpose or effect of causing damage to or in any way hindering our business operations or generating or increasing a liability on us and or our partners and companies providing services to us, including without limitation any tax, levy or duty collecting authority.
8.7.2. bet on or manipulate any individual Market in a manner which we believe has the purpose or effect of adversely affecting the integrity of the Exchange or any Market.
8.7.3. No betting on or in relation to crypto currency.
8.7.4. transmit information that assists in the placing of bets or wagers on any sporting event or contest from any territory where it is illegal to do so.
8.7.5. procure or otherwise arrange, whether directly or indirectly, for a third party to transmit information that assists in the placing of bets or wagers on any sporting event or contest from any territory where it is illegal to do so; and/or
8.7.6. disguise or interfere in any way with the IP address of the computer you are using to access the site or otherwise take steps to prevent us from correctly identifying the actual IP address of the computer you are using whilst accessing the site; and/or
8.7.7. attempt to use the Exchange to deliberately transfer money from one Framble account to another by attempting to match bets on a Market with another account through collusion.
8.7.8. bet, or attempt to bet on any individual Market using third party software or “bots”. If you suspect that you are betting against another customer using third party software, please let us know. Details of how to make a complaint regarding the use of third-party software/bots is available in our complaints policy.
8.7.9. You will not bet on or create challenges/ participate in challenges of any sexual nature or upload any sexual content.
8.7.10. You will not bet on or create challenges/participate in any challenges that could cause alarm, distress or harassment or be perceived as bullying or would be illegal either under UK law or laws of any country where the bet or challenge was to take place.
9.8. You may cancel unmatched bets at any time either by contacting us by telephone on 03301348894 or by emailing us at [email protected].
9.9. Your cancellation of an unmatched bet becomes effective once we send you confirmation of the cancellation. In the event that your cancellation request is not received and processed in good time, you acknowledge that your offer may remain outstanding and available for acceptance.
9.10. You may not be able to cancel your offer if your bet has been partially or wholly accepted during the interval between your submitting your cancellation request and our confirming your cancellation. In this case, your original offer, or part thereof, will be validly accepted and the bet will be concluded.
9.11. Framble may, in its sole and absolute discretion, decide to suspend betting on a Market at any time (even if such suspension is earlier than anticipated by our Rules of Play). In the interests of maintaining integrity and fairness in the Markets, Framble may also void certain bets in a market or void a whole Market in its entirety.
9.12. We may withdraw your offers for bets, void any bets outstanding to your account, cancel any unmatched bets or cancel and void any outstanding or matched bets in our absolute discretion without cause at any time including if:

8.12.1. there is a technological failure.
8.12.2. we suspect that you are engaging in illegal or fraudulent activity.
8.12.3. we suspect that you have (or may have) breached any part of this Agreement.
8.12.4. we suspect you are acting in a manner that is detrimental to the conduct of our business or which may result in legal liability for you, us or third parties.
8.12.5. we suspect that your account could represent business usage.
8.12.6. we suspect that you may be having difficulties obtaining credit.
8.12.7. we have the right to do so as set out in our Rules of Play.
8.12.8. you are prohibited from entering into a bet by any term of your contract of employment or any rule of a sport governing body or other professional body which applies to you; or
8.12.9. you place a bet on any sporting match or event in which you take part (or in which a team of which you are a member, or in respect of which you are employed, takes part).
9.13. In relation to any cancelled or void bets, we reserve the right to withhold any money in your account relating to these or, if there are insufficient funds in your account, demand that you pay us the relevant outstanding amount relating to these bets.
10.
Our Commission.
10.1. We charge a commission on bets made via our platform. We will automatically deduct such amounts from your winnings before payment is released.
10.2. Please refer to Framble Charges on the payment summary page of each bet or challenge, which sets out in detail how all commission and charges are calculated.
10.3. If we initiate a refund, the refund will be minus any transaction fees. All transaction costs still apply in the event of a refund.
11.
Responsible Gambling
11.1. We are committed to promoting responsible gambling. For information on responsible gambling, visit gambleaware.org.
11.2. You may request to self-exclude for a requested period of time. During that time, we will suspend your account, which will be reopened once the time has passed and not before.
11.3. You may request that deposit limits are placed on your account.

13.
Right of Set-Off
13.1. We may at any time, without notice to you, set off any liability owed to us or to our customers by you, including (without limitation) in relation to any Framble account in your name or which we believe to be under your control:

13.1.1. against any funds held in another Framble account in your name or which we believe to be under your control; and/ or
13.1.2. against any liability that we determine that you have to us in pursuant to these Terms, including (without limitation) pursuant to the Framble Charges.
14.
Our liability to you.
14.1. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen.
14.2. If defective digital content which we have supplied damages a device or digital content belonging to you, and this is caused by our failure to use reasonable care and skill we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.
14.3. We are not liable for business losses. We only supply the services for domestic and private use. If you use the services for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
15.
General.
15.1. This contract is between you and us. No other person shall have any rights to enforce any of its Terms.
15.2. You may not assign these Terms to any third party. Framble may assign, transfer or novate any or all of its rights and obligations under these Terms to any third party at any time without notice to you.
15.3. In the event that any provision of these Terms are deemed by any competent authority to be unenforceable or invalid, the relevant provision shall be modified to allow it to be enforced in line with the intention of the original text to the fullest extent permitted by applicable law. The validity and enforceability of the remaining provisions of these Terms shall not be affected.
15.4. Any provision of these Terms that is invalid, illegal or unenforceable in any jurisdiction will be ineffective in that particular jurisdiction, without affecting the validity, legality or enforceability of that provision in other jurisdictions.
15.5. We reserve the right to make immaterial changes to these Terms at any time. In relation to material changes, we will give you prior notice and (if necessary) to obtain your prior consent before making such changes. You agree that your continued use of the site may be deemed to constitute your acceptance of any material changes.
15.6. These terms are governed by English law, and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland, you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.
